WHEREAS, South Carolina Statute §59-125-70 establishes a corporate body formally titled, “The Trustees of Winthrop University,” and grants the right to use and keep a common seal of said corporate body, as well as designates perpetual succession of officers and members; and
WHEREAS, the Board of Trustees is empowered by S.C. Code §59-125-80 to “constitute and establish such bylaws, rules and orders,” necessary for the government of Winthrop University; and
WHEREAS, the Board of Trustees has found it necessary, in the interest of appropriate institutional governance, to create Bylaws, which include the establishment of the office of Secretary to the Board, with responsibilities as outlined in the Winthrop Board of Trustees Bylaws, article VI, D; and
WHEREAS, the Secretary of the Board shall ordinarily be a staff person in the Office of the President of Winthrop University; and
WHEREAS, Mr. Hagins has served the Winthrop Board of Trustees for the last quarter of the 2023-24 academic year as Interim Secretary to the Board, in addition to his role as University Counsel; and
THEREFORE, LET IT BE RESOLVED BY THE BOARD OF TRUSTEES OF WINTHROP UNIVERSITY that Mr. Todd Hagins, Esq., will serve as its Secretary beginning July 1, 2023.
