WHEREAS, pursuant to S.C. Code Ann. §59–125–1, et. seq., the Board of Trustees of Winthrop University, as a body corporate, is empowered to enter into contracts and agreements essential for the operation and advancement of the University;
WHEREAS, the Bylaws of the Winthrop University Board of Trustees charge the Board with the oversight of the University’s financial and operational practices, ensuring they are conducted in compliance with applicable laws and regulations;
WHEREAS, based on current projections, student enrollment at Winthrop University is expected to increase for the 2024–2025 Academic Year, necessitating the expansion of student housing to accommodate this growth;
WHEREAS, the Winthrop University Administration has identified an urgent need for additional student housing to accommodate the growing student population and to enhance the student living experience;
WHEREAS, the Administration has conducted a thorough evaluation process in accordance with the South Carolina Procurement Code’s Request for Proposal (RFP) process, identifying the Walk 2 Campus facility as the approved vendor to provide the additional student housing space needed;
WHEREAS, the details of the proposed agreement with Walk 2 Campus, including terms, conditions, and compliance with legal and regulatory requirements, were presented to the Board of Trustees at their meeting on March 13th, 2024, and are outlined in the official minutes of said meeting, which are incorporated herein by reference;
NOW, THEREFORE, BE IT RESOLVED that on March 13, 2024, in accordance with the authority granted by S.C. Code Ann. §59–125–1, et. seq., and acting under the fiduciary and oversight responsibilities outlined in the Bylaws of the Winthrop University Board of Trustees, the Board hereby approves and authorizes the Winthrop University Administration to complete all necessary arrangements required by law and regulation to finalize the procurement of additional student housing space at the Walk 2 Campus facility.
BE IT FURTHER RESOLVED that the Winthrop University Administration is authorized to execute such an agreement with Walk 2 Campus as meets the requirements presented by the Administration, ensuring the arrangement aligns with the University’s strategic goals for student housing and complies with the South Carolina Procurement Code’s standards.
BE IT FURTHER RESOLVED the Secretary to the Board of Trustees shall certify that the Winthrop University Board of Trustees approved this resolution on the 13th Day of March 2024, in a regularly called meeting. Such resolution shall be maintained and publicly posted by the Secretary of the Board in a time and manner as required by law.
